Welcome to QLu’s website (the “Site”). Please carefully read the below-stated terms and conditions of use (the “Terms”) before using our Site or the online auction services administered through eBay (the “Auction Services”). By accessing, reading, or otherwise using any portion of the Site or Auction Services, you are deemed to have read, understood, and agreed to be bound by all of the below-stated Terms. In addition, by using the Auction Services administered by eBay, you may be bound by additional terms and conditions established by eBay that are applicable to such services.

1. General Rules of Use.
   1. These Terms govern your access to and use of QLu’s Site and Auction Services, regardless of the manner in which you access the Site or Auction Services and regardless of whether you have formally registered to bid or purchase items offered pursuant to the Auction Services.
   2. You are hereby granted the right and license to access and read the pages of QLu’s Site solely for personal, non-commercial purposes.
   3. You further are granted the right and license to bid and purchase items offered for sale by QLu pursuant to the Auction Services solely for personal, non-commercial purposes.
2. Rules Regarding Use of Auction Services.
   1. To bid and purchase items offered for sale by QLu, you must first register to open an account with eBay. Upon completing this registration process, you are free to bid and purchase items in accordance with the further terms and conditions of these Terms and any additional terms and conditions by which eBay may require you to abide.
   2. Please consider carefully before you place a bid, as all bids and sales are final and may not be withdrawn or canceled for any reason and for authenticity purposes QLu further does not accept returns for any reason. If you are the highest bidder for an item, you are legally obligated to complete the purchase transaction by making full and immediate payment, through PayPal, of (a) the amount of your winning bid, (b) the cost of shipping, and (c) a handling fee in a reasonable amount to be determined by QLu.
   3. QLu may list certain items for sale subject to a reserve price requirement, which is a confidential minimum price set by QLu below which such items will not be sold by QLu. When reserve pricing applies to an item, QLu is not required to sell it unless the reserve price is met. A reserve price item may be withdrawn from sale if a bid equal to or above the reserve for that item is not received during the sale period.
   4. No item purchased through the Auction Services may be resold on eBay or any other online auction service.
3. Authenticity of Auctioned Items. QLu has made reasonable efforts to confirm that the items it offers for sale are owned by the celebrities designated on the Site. All such items were obtained by QLu directly from the applicable celebrity or the celebrity’s personal agent and were accompanied by a signed letter of authenticity from the celebrity or agent. An image of each applicable letter of authenticity can be viewed on the Site. A copy of the letter also will be sent to you when you receive your purchased item.
4. Prohibited Uses.
   1. Except as expressly permitted under these Terms or otherwise by the express written consent of QLu, you may not engage in any of the following conduct:
      1. Reproduce, distribute, display, modify, publish, transmit, participate in the transfer, sale or license of, create new works from, perform, or in any other way exploit, any text, images or other information presented on the Site or as part of the Auction Services, in whole or in part;
      2. Make use of any data gathering or extraction tools or manual processes to collect, gather or copy any portion of the Site or Auction Services;
      3. Frame or utilize framing techniques to enclose any trademark or other proprietary information (including images, text, page layout, or form) of QLu, its featured celebrities or its customers;
      4. Use meta tags or any other "hidden text" utilizing any trademark or proprietary information of QLu, its featured celebrities or its customers without prior express written consent;
      5. Register to receive the QLu newsletter or to bid on QLu-auction items using false information, or otherwise post content that is false, misleading, defamatory, disparaging, offensive, disrespectful, discriminatory, infringing or illegal;
      6. Place a bid or cause a bid to be placed that has the purpose or effect of artificially increasing or otherwise manipulating the bidding process or the bid price for any item listed on the Site or as part of the Auction Services;
      7. Seek to circumvent or manipulate any element of the Auction Services; or
      8. Use the Site or Auction Services for an unlawful purpose or in an unlawful manner.
   2. QLu shall be entitled (without prejudice to other available remedies) to limit, suspend or terminate your right to bid or purchase QLu items offered through the Auction Services, deprive you of access to its Newsletter, or prohibit your access to the Site and Auction Services, if QLu determines in its sole discretion that you have violated any of these Terms or that you are creating problems, possible legal liabilities or acting inconsistently with the letter or spirit of the Terms or any policies that may be adopted by QLu from time to time. QLu further reserves the right, in its sole discretion, to reject any bid made by you for any reason.
5. Privacy. QLu believes that maintaining the privacy of its users’ personal information is very important. QLu does not sell or rent your personal information to third parties for their marketing purposes without your express consent. QLu uses this information only as described in QLu’s Privacy Policy, which is incorporated into these Terms by this reference thereto. QLu stores and processes this information on computers located in the United States that are protected by physical and technological security devices.    2. You shall abide by all intellectual property notices, information and/or restrictions contained in the Site and Auction.
7. Representations and Warranties, Limitations of Liability, Indemnification.
   1. You may only use the Site and Auction Services if you lawfully are able to enter into and perform contracts in the United States. In making use of the Site and/or Auction Services, you represent and warrant that (a) you are at least 18 years of age, and (b) you otherwise are legally competent and able to enter into and perform the contract in the United States that is evidenced by these Terms.
   2. In no event shall QLu or any person or entity affiliated with QLu be liable for any lost profits or other consequential, exemplary, incidental, indirect or special damages relating in whole or in part to your use of, or inability to use, the Site or Auction Services, even if advised of the possibility of such damages. If QLu is found to be liable, its maximum liability to you or any third party is limited to the total fees you paid to QLu in the 12 months prior to the action giving rise to the liability. These limitations of liability shall survive the termination of these Terms.
   3. You hereby agree to indemnify, defend and hold harmless QLu and all of its members, officers, agents, information providers, affiliates, featured celebrities, licensors and licensees (collectively the “Indemnified Parties”) from and against any and all liability and costs, including, without limitation, reasonable attorneys’ fees, incurred by the Indemnified Parties in connection with any claim arising out of (a) any breach by you (and any user of your account) of these Terms or your above-described representations and warranties contained herein, (b) any violation by you of any state, federal, foreign or international law, and/or (c) any violation by you of any third party rights, including, without limitation, violation of any intellectual property right, publicity right, proprietary right or privacy right. QLu reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, subject to your continuing obligation to indemnify the Indemnified Parties from and against liability for other than defense costs. This obligation of indemnification shall survive the termination of these Terms.
8. Links. The Site and Auction Services may contain or utilize links to eBay, which administers the Auction Services, and other Internet sites and resources (collectively, “Third Party Sites”). QLu is not responsible for the availability of these Third Party Sites or the contents thereof. The presence of links to these Third Party Sites does not imply QLu’s endorsement of or affiliation with the Third Party Sites. Your use of these Third Party Sites is at your sole risk, and you are solely responsible for compliance with the terms and conditions applicable to the Third Party Sites.
9. Modifications in Service and Terms of Use.
   1. QLu may change, suspend, or discontinue the Site and Auction Services at any time in its sole discretion.
   2. QLu may amend these terms at any time in its sole discretion. All such changes to these Terms will be posted on the site and will be effective immediately upon posting. 10. Miscellaneous.
    1. These Terms and any further terms and conditions set forth on the Site constitute the entire agreement between QLu and you as a user of the Site and/or Auction Services with respect to the subject matter hereof and supersedes and cancels all prior and contemporaneous agreements, representations and understandings of the parties in connection with the subject matter hereof.
    2. These Terms shall be construed and enforced in accordance with the laws of the State of Missouri, without regard to conflict of law provisions. You agree that any claim or dispute you may have against QLu must be brought solely in the federal or state courts located in the City of St. Louis, Missouri. You agree to submit to the personal jurisdiction of the courts located in the City of St. Louis, Missouri for the purpose of litigation all such claims or disputes. The provisions of this subparagraph shall survive the termination of these Terms.
    3. If any provision of these Terms is determined by a court to be void, invalid, unenforceable or illegal, the enforceability of the other provisions of these Terms shall not be affected.
    4. Failure to enforce any provision of these Terms shall not constitute a waiver of the right later to enforce it.
